Terms of Use
The terms for accessing Lexa AI and using our research tools and services.
Last reviewed 21 October 2026
1. Agreement and operator
These Terms govern your access to Lexa AI by LexaBase, including legal research, statutory analysis, AI-assisted drafting, translations, saved work, and paid services. The service is operated by ALLMR Online ("LexaBase", "we", "us", or "our").
These Terms must be made available before you register or purchase. By affirmatively accepting them when prompted, you agree to them. If you do not agree, do not register for or purchase the service. The Privacy, Cookies, Payment and Refund Policy explains our related practices; accepting these Terms does not replace any separate consent required for personal-data processing.
Waitlist
For those who have received an invite with an exclusive code to avail of a spot on the Wait List, you agree to be bound by the terms of the Terms of Use, the Privacy Policy, Cookies policy and Other applicable policies. Though we will endeavour to release the beta launch of the product as soon as it is available, there are no guarantees or warranties of the time or date of the beta release. Also the product for wait list users will be a beta launch, which may have certain inconsistencies or bugs or errors, which when found, will be dealt with as expediently as possible.
Signups post launch
In the beta launch and after, for every subsequent release, all users and entities who sign-up for an account at LexaBase agree to the specific Terms of Use, Privacy Policy, Cookies policy and Payment & Refunds Policy which is in force and represented at their respective links on https://LexaBase.com.
2. Eligibility and accounts
You must be at least 18 and legally competent to contract. If you use the service for an organisation, you must be authorised to bind it. Each user must use their own account unless a purchased multi-user arrangement expressly permits otherwise.
Provide accurate registration information, protect your credentials, and promptly report suspected unauthorised access. Do not share passwords, resell access, or exceed purchased licences. You are responsible for use you authorise; these Terms do not make you automatically responsible for a security failure attributable to us.
3. Research assistance and AI limitations
LexaBase is not a law firm. The service provides research and drafting assistance, not legal advice or representation, and does not create an advocate–client relationship or guarantee legal privilege.
AI Research Assistance & Duty of Verification
LexaBase provides AI-driven search and research acceleration. While engineered for precision, outputs—including summaries, citation links, and drafting suggestions—are indicative research tools designed to be cross-referenced with official primary sources.
LexaBase is built to assist, not replace, qualified legal practitioners. As such, users remain solely responsible for validating authority, conducting professional review, and ensuring accuracy prior to issuing advice, submitting filings, or making legal determinations. Nothing in this clause waives non-excludable rights guaranteed by applicable law.
4. Permitted use and restrictions
Subject to your plan, we grant you a limited, non-exclusive right to use the service for lawful personal, educational, professional, or internal business work, including preparing work for your clients. Permitted exports and quotations remain subject to applicable law and source rights.
Do not:
- Use the service unlawfully, infringe others' rights, disclose protected identities, or submit material you lack authority to use.
- Bypass payment, credit, licence, security, or access controls, or create accounts to evade limits.
- Scrape or bulk-extract the service or database, redistribute access, or republish our proprietary editorial material without permission, except where law permits.
- Upload malware, attack the service, impersonate others, or interfere with other users.
- Reverse engineer the software except as permitted by law, or use unauthorised extraction to build a competing database or train models on our proprietary material.
Normal legal research and professional use do not become prohibited merely because they involve technology, AI, or work for clients.
5. Your content and privacy
You retain your existing rights in information and documents you submit. You give us only the permissions necessary to process, store, and transmit that content to provide and support the service as described in the Privacy Policy. This is not a transfer of ownership or an unrestricted licence to publish your client material.
Obtain any required client authority, permissions, and lawful basis before submitting personal, confidential, privileged, or third-party content. Avoid unnecessary identifiers and do not submit sealed or restricted material without lawful authority. Your responsibilities do not replace our own privacy and security obligations.
6. Content rights and AI outputs
Our software, branding, and proprietary editorial content remain ours or our licensors'. We do not claim exclusive ownership of court judgments, legislation, public-domain material, or your pre-existing content merely because it appears in the service. Source restrictions and third-party rights continue to apply.
As between you and LexaBase, you may use generated outputs for your permitted work. We assign any rights we may hold in an output to you to the extent legally transferable, excluding our pre-existing materials and third-party content. We do not guarantee that an output is unique, copyrightable, or free of third-party rights. Other users may receive similar outputs.
7. Subscriptions and related policies
The plan details presented before purchase and the Payment and Refund Policy form part of your agreement with us. That policy governs payments, cancellations, refunds, taxes, additional credits, rollover and customised plans.
Auto-renewal applies only if disclosed and authorised. Future price changes do not retrospectively increase an already purchased term's price. Mandatory legal rights prevail over plan restrictions.
8. Service changes and suspension
We may maintain, improve, or change the service and address outages. We do not promise uninterrupted availability, a particular model, or a guaranteed case outcome. Material changes affecting a paid plan will be communicated, with any remedy required by law or the applicable agreement.
We may proportionately restrict or suspend access for non-payment, material breach, security risks, or legal requirements. Where practicable, we will explain the reason and allow an opportunity to resolve the issue; urgent security or legal action may require immediate restriction. Suspension does not automatically forfeit statutory refund rights or prevent privacy requests. Account closure and data retention follow the linked Privacy Policy.
9. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall LexaBase, its affiliates, or its licensors be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages—including but not limited to loss of profits, loss of data, loss of goodwill, legal malpractice claims, or business interruption—arising out of or in connection with the use of, or inability to use, the platform.
To the maximum extent permitted by law, LexaBase's aggregate total liability arising out of or related to these Terms, whether in contract, tort (including negligence), strict liability, or otherwise, shall be strictly limited to the actual subscription fees paid by you to LexaBase in the twelve (12) months immediately preceding the event giving rise to the claim.
10. Governing Law & Dispute Resolution
These Terms of Use, their subject matter, and any non-contractual obligations or disputes arising out of or in connection with them shall be governed by, construed, and enforced strictly in accordance with the laws of India, without regard to its conflict-of-law principles.
You irrevocably agree that the courts and tribunals located at Mumbai, Maharashtra, India shall have exclusive jurisdiction to settle any dispute, claim, action, or proceeding arising out of or relating to these Terms or your use of LexaBase, and you hereby consent to the personal jurisdiction and venue of such courts, expressly waiving any objection as to inconvenient forum.
We will publish revisions with an updated date and provide reasonable notice of material changes, seeking fresh acceptance where required. Changes will not retrospectively remove accrued rights or refund entitlements. A valid written customer agreement prevails over these standard Terms only to the extent it expressly addresses a conflict; mandatory law always prevails.
If a provision is unenforceable, the remaining provisions continue insofar as lawful. Failure to enforce a provision on one occasion does not waive it.
11. Indemnification
You agree to defend, indemnify, and hold harmless LexaBase, its parent company, affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees and court costs) arising out of or relating to:
Your access to or use of LexaBase, including any reliance on AI-generated outputs, summaries, search results, or citations;
Any court filings, legal advice, client representation, or professional decisions made using or incorporating LexaBase outputs;
Any adverse court orders, sanctions, disciplinary actions, or third-party claims resulting from your failure to independently verify research or legal authority; or
Your breach of these Terms of Use or violation of applicable laws and professional conduct rules.
